Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications and omnichannel customer communication platform (the "Service") provided by Turehub ("Turehub", "we", "us" or "our"). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or security breach.

2. Use of the Service

Subject to these Terms and any applicable subscription plan, we grant you a non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You agree not to:

• Use the Service in violation of any law, regulation or third-party rights;
• Send unsolicited, unlawful or deceptive communications (including spam) or content that is abusive, fraudulent or infringing;
• Interfere with, disrupt or attempt to gain unauthorized access to the Service or its systems;
• Reverse engineer, copy, resell or sublicense the Service except as expressly permitted;
• Use the Service to build a competing product.

You are responsible for obtaining any consents required to contact your customers and for complying with all telecommunications, marketing and data protection laws applicable to your communications.

3. Customer Data & Content

You retain all rights to the data and content you submit to or process through the Service ("Customer Data"). You grant us a limited license to host, process and transmit Customer Data solely to provide and support the Service. You are solely responsible for the accuracy, quality and legality of Customer Data and the means by which you acquired it. Our handling of personal information is described in our Privacy Policy.

4. Fees & Payment

Paid features are billed according to the plan and pricing you select. Unless stated otherwise, fees are exclusive of taxes and are non-refundable. Usage-based charges (such as voice minutes and messaging) are billed in addition to subscription fees. We may change pricing on prospective notice; continued use after a change takes effect constitutes acceptance. Late or failed payments may result in suspension of the Service.

5. Third-Party Services

The Service integrates with third-party providers, including telecommunications carriers and messaging platforms. Your use of those services may be subject to their own terms, and we are not responsible for their availability, performance or acts. Charges imposed by such providers are your responsibility.

6. Intellectual Property

The Service, including all software, designs, text and trademarks, is and remains the exclusive property of Turehub and its licensors. Except for the limited rights expressly granted to you, these Terms do not transfer any intellectual property rights to you.

7. Service Availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features, and may perform maintenance that temporarily affects availability. Where a separate service level agreement applies to your plan, that agreement governs.

8. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that any defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, Turehub will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Turehub harmless from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data or your violation of these Terms or applicable law.

11. Term & Termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees or use the Service in a way that poses a risk to us or others. Upon termination, your right to use the Service ceases; provisions that by their nature should survive will continue to apply.

12. Governing Law

These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict of laws principles. The courts located in Nairobi, Kenya will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under applicable law.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
